Governance

Bokusgruppen is a Swedish public limited-liability company. The company’s corporate governance is based on Swedish law, primarily the Swedish Companies Act (2005:551), the company’s Articles of Association, internal rules (including instructions and policies) and Nasdaq First North Premier Growth Market’s Rulebook for Issuers.

Bokusgruppen applies the Swedish Corporate Governance Code (“the Code”). The Code provides more stringent standards for sound corporate governance than the minimum requirements in the Swedish Companies Act and other regulations. Companies are not required to follow all of the rules in the Code. A company can choose other solutions that are deemed better responses to the company’s specific circumstances, as long as all such deviations and alternative solutions chosen, and the reasons why, are described in the corporate governance report (according to the “comply or explain” principle). However, Bokusgruppen intends to follow all of the rules in the Code in conjunction with the listing of its share on Nasdaq First North Premier Growth Market.
