Subscription made in warrant program in Bokusgruppen

On 30 April 2021, the annual general meeting of Bokusgruppen AB (publ) (“Bokusgruppen”) resolved to issue warrants of series 2021/2024 to senior executives, with 14 June 2021 as last day for subscription. 550,585 warrants have been subscribed by senior executives in Bokusgruppen. The right to subscribe for shares based on the warrants can be exercised during the period from 15 June to 15 October 2024.
Bokusgruppen’s CEO Maria Edsman has subscribed for 117,647 warrants, and other senior executives in Bokusgruppen have subscribed for a total of 432,938 warrants. This implies, if all issued warrants are exercised for subscription of shares, a dilution effect in Bokusgruppen of 3.3 percent.
The subscription price for the warrants of series 2021/2024 is based, according to the resolution of the annual general meeting, on the average volume-weighted price paid for Bokusgruppen’s shares on Nasdaq First North Premier Growth Market during the period 7-11 June 2021. The average volume-weighted payment price amounted to SEK 42.90. The subscription price for the warrants thus amounts to SEK 1.30 per warrant, and the future exercise price for a share based on a warrant amounts to SEK 55.80 per share.
